Term Of UseWuapi is a Website providing legitimate copyright holders (hereinafter “Users”) the capability to publish their materials on the Internet via uploading, storage and exhibition of diverse types of video and textual content (hereinafter “User’s Files”). Under no circumstances may Wuapi’s services be used without first accepting these Terms and Conditions. The mere use of the Services represents the User’s recognition and acceptance of Wuapi’s Terms and Conditions of Use. The Terms and Conditions constitute a legally binding contract for all Users of the Website and for Wuapi in relation to its use of the Services. The Spanish versions of the Terms and Conditions shall govern all relations with Wuapi. Any translation of the Terms and Conditions is provided for informational purposes and has no legal validity. In the event of a contradiction between what is expressed in the Spanish version of the Terms and Conditions and what is expressed in a translation, the Spanish version shall prevail. In order to use the Services and accept the Terms and Conditions, the User must be legally able to enter into a binding contract with Wuapi and must live in or access the Services from a country where current legislation allows it. The User accepts that Wuapi does not guarantee any type of confidentiality in regard to the User’s Files, whether or not they are published. Wuapi does not revise in any way the “User’s Files” stored on our servers by the users of our service. The User recognises and accepts being the sole responsible party for his/her User’s Files and the consequences of their publication. Wuapi does not endorse any User’s Files or commentary or text sent in relation to the same, expressly excluding all responsibility related to the User’s Files. Users of the Wuapi website must be responsible for its use, respecting the trust that the Wuapi managers and its users place with them. Mutual respect is the Wuapi community’s basic rule of coexistence. The User will continue to be the owner of all rights relating to his/her User’s Files even though, by uploading a User’s File to Wuapi, the User is granting Wuapi a non-exclusive worldwide license that is transferable and without royalties to use or distribute that User’s Files in the rendering of Services by Wuapi. The User also grants to each user of the Wuapi website a non-exclusive worldwide license, without royalties to access his/her User’s Files via the Website and to use and reproduce these User’s Files under these Terms and Conditions. The User recognises and accepts that his/her conduct on the Website (and the content of all his/her User’ Files) shall comply with all local, national and international laws. The User accepts and recognises that he/she may not, under any circumstances, alter or change any part of the Website or the Services. The User accepts that he/she may not use Wuapi for commercial purposes without previous written authorisation by Wuapi. The User must create a Wuapi account to access certain Website functions and other Services. To create an account, the User shall provide specific information correctly and completely. The User accepts being the sole responsible party (toward Wuapi and other third parties) for all activity that takes places with his/her Wuapi account. The User demonstrates and guarantees that he/she is the owner (and will continue to be so while using the Services) of all licenses and all the rights, approvals and permission necessary to allow Wuapi to use his/her User’s Files for the rendering of Services and for any other purpose in the manner described in the Website and in these Terms and Conditions. Wuapi applies a policy of copyright protection in relation to the User’s Files that presumably infringe the rights of a third party. The User recognises and accepts that under no circumstances may he/she publish or upload any User’s File that contains contents whose possession would be illegal for the User in his/her country of residence or whose use or possession would be illegal for Wuapi in relation to the rendering of the Services. Likewise, the User may not upload or publish any User’s File that is subject to copyright by third parties without their formal authorisation to publish the material in question. Wuapi may cancel access to the Website for any User who is considered to have broken these rules. Users believing that copyrights have been violated should send us a written notification containing all the information indicated as follows in the following format:
The User must ensure that the content seen on Wuapi infringes his/her copyright. If in doubt, Wuapi suggests that the User previously consults with a legal advisor since a false allegation or one given in bad faith relating to a copyright infraction could have adverse legal consequences in his/her country. The Terms and Conditions and their relation with Wuapi shall be construed in accordance with the laws of the Kingdom of Spain. The User and Wuapi are required to submit to the exclusive jurisdiction of the courts of the Kingdom of Spain to resolve any conflict derived from the Terms and Conditions. Without detriment to the preceding, the User accepts that Wuapi may solicit preventative measures (or other equivalent legal measures in an urgent situation) in any jurisdiction. |
